In addition, the selling shareholders of\u00a0PrizePicks may receive further performance-contingent payments of\u00a0up\u00a0to\u00a0approximately USD 1.0 billion in\u00a02029, based on\u00a0performance metrics during 2026-28, which could increase the implied enterprise value to\u00a0a\u00a0maximum of\u00a0USD 4.15 billion. Minority shareholders will benefit from certain customary liquidity provisions five years post-closing.<\/p>\n<p class=\"paragraph\">The transaction is\u00a0anticipated to\u00a0close in\u00a0the first half of\u00a02026, subject to\u00a0the satisfaction of\u00a0certain closing conditions, including the notification to\u00a0and\/or\u00a0approvals from applicable regulatory authorities.
